In her business counseling practice, Kathy advises businesses and technology start-ups, as well as the people who invest in them.  By working closely with business managers who are seeking to protect key business assets – including intellectual property and workforce talent – Kathy assists in negotiating and crafting agreements to achieve those goals, including Saas agreements, employment agreements, and operating agreements. Kathy also counsels business clients on protecting trademarks, trade secrets, and copyrights.    

Kathy assists in developing or modifying operating, shareholder and partnership agreements.  When founders are exiting a business, Kathy’s often advises on negotiating the terms of departure and memorializing them in written agreements  through the firm’s executive compensation practice.

Kathy’s extensive courtroom experience informs her advice to business clients as they contemplate transactions regarding their litigation risk and how to manage it.  During her more than 25 years as a lawyer, Kathy has represented clients in scores of hard-fought business disputes, including in many cases where parties sought emergency relief from the courts.  Much of Kathy’s courtroom work has been in the fast-paced U.S. District Court for the Eastern District of Virginia, which is known for its “Rocket Docket,” and is where Kathy served as a law clerk to the Honorable Leonie M. Brinkema.

Kathy also works with fiduciaries who are tasked with managing other people’s assets under trusts, powers-of-attorney, and as executors.

Kathy has been recognized by as one of Virginia’s Legal Elite, and as a Super Lawyer in both Virginia and the District of Columbia. In 2010, Virginia Lawyers Weekly named Kathy an Influential Woman of Virginia.
