HCM advises businesses and business owners, helping them to identify and achieve their business objectives through agreements and policies.  Ideally, these policies and agreements are free of legalese and can be understood without advanced legal training.  Our clients have come from a wide range of industries throughout the greater Washington, D.C. area – including software and technology, government contracting, and political lobbying and consulting.  Our clients have sought our advice and assistance at all stages of the business lifecycle.  


On behalf of emerging companies and their owners, our legal services may include: 

  • Preparing the corporate formation documents, so that the rights and duties that each owner owes to the company and to each other are clear and as the owners intend them to be

  • Preparing and implementing key agreements and policies with employees, vendors, customers and business partners, which the company will be able to keep using as it grows

  • Protecting the intellectual property of a technology start-up,  not only through registrations, but by aligning agreements with employees, contractors, partners and customers so that business assets are not unwittingly abandoned or devalued

Recent representative matters (please see our disclaimer) include: 

  • We advised a platform software provider as it negotiated a series of multi-year license agreements with corporate end-users, mindful that the agreements would likely be scrutinized in the future by potential investors at Series A rounds. 

  • We advised two owners and founders of a successful video production company who were at odds with the third owner and co-founder.  Among other things, we analyzed for them and advised on the advantages and disadvantages of a buy-sell arrangement with our clients as either buyers or sellers. 

  • Over the course of many years, we worked with a data analytics company from the start-up phase through an eventual M&A transaction, providing throughout advice and assistance on contracts with employees, business partners, vendors and customers. 

  • In advance of a corporate acquisition, we advised an association in due diligence reviews of multiple contracts.

These days, creating a business entity is a simple task, easily done through online registrations.  HCM’s work really begins with working with a business’s founders and investors to ensure that their business objectives will be advanced through their:  employment agreements, software and SaaS agreements, and professional services contracts.   And when it is time for a change of ownership, we work with business owners in making those transitions happen while the business’s customers stay happy.  We can effectively take on the functions of an “in house” legal department while remaining “outside counsel”  -- and view part of our job as recognizing when our clients need specialized legal advice and connecting them with the lawyers who can provide it.
